1) юр., эк., амер. учредительный договор корпорации (документ, подаваемый основателями корпорации в соответствующий регистрирующий орган; содержит положения о целях создаваемой корпорации, ее основателях и капитале; после официальной регистрации корпорации данный документ совместно с сертификатом о создании корпорации, выдаваемым регистрирующим органом, составляет устав корпорации)
2) юр., эк., амер. устав корпорации (документ, определяющий порядок деятельности корпорации и ее права и обязанности; состоит из учредительного договора корпорации и свидетельства о регистрации корпорации; последнее выдается в результате процедуры официальной регистрации учредительного договора корпорации; по закону штата Делавэр, который предпочитает большинство учредителей корпораций (получить право деятельности при этом можно в любом другом штате), регистрация учредительного договора корпорации происходит в офисе госсекретаря (заведующего канцелярией штата), который, в случае принятия положительного решения, выдает свидетельство о регистрации корпорации; затем регистрация происходит в округе, где корпорация имеет свой зарегистрированный офис; корпорация считается созданной со дня получения официального устава в офисе госсекретаря)
